These Terms of Service govern your access to and use of Lypso, including the Lypso website, application, payroll tools, employee portal, accountant review workflows, reporting features, integrations, and related services.
By creating an account, accessing Lypso, or using the service, you agree to these Terms. If you are using Lypso on behalf of a company or organization, you represent that you have authority to bind that company or organization to these Terms.
Subject to your compliance with these Terms, Lypso grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Lypso service for your internal business purposes. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Lypso except as expressly permitted by law or by written agreement with Lypso.

You remain responsible for final payroll decisions, statutory filings, payments, remittances, employee communications, and accounting records.
Lypso is designed to assist with payroll processing and related workflows. While we aim to provide accurate calculations and useful payroll tools, payroll laws, statutory rates, tax rules, reporting requirements, and employment obligations may change.
You are responsible for reviewing and validating payroll outputs before relying on them. You should consult a qualified accountant, payroll professional, tax advisor, or legal advisor where appropriate.
Lypso is not liable for errors caused by inaccurate customer data, incorrect configuration, outdated information supplied by the customer, unauthorized changes, failure to review outputs, or misuse of the platform.
Lypso may allow you to connect your account to QuickBooks Online.
The purpose of the QuickBooks Online integration is to support customer-authorized accounting workflows, including exporting finalized payroll accounting summaries from Lypso to QuickBooks Online as journal entries.
By connecting QuickBooks Online, you authorize Lypso to access and use QuickBooks data as needed to provide the integration. This may include accessing chart of accounts information, storing account mappings, creating journal entries, and storing journal entry references and sync status.
You are responsible for reviewing all accounting entries before and after export to QuickBooks Online. Lypso does not guarantee that any exported journal entry satisfies your accounting, tax, audit, or reporting requirements.
You may disconnect the QuickBooks Online integration at any time through Lypso or through your Intuit/QuickBooks account settings. If disconnected, Lypso will stop syncing new QuickBooks data unless you reconnect the integration.
Lypso will use QuickBooks Online data only as needed to provide, maintain, secure, troubleshoot, and improve the QuickBooks integration and related Lypso services. Lypso will not sell QuickBooks Online data.
Upon request, and subject to legal, accounting, security, backup, and legitimate business retention requirements, Lypso will delete or de-identify stored QuickBooks integration data associated with your account.
QuickBooks and Intuit are trademarks or registered trademarks of Intuit Inc. Lypso is not endorsed by or affiliated with Intuit unless expressly stated.
You are responsible for all activity under your account and for all users you invite or authorize.
You must ensure that users are assigned appropriate roles and permissions. You must promptly remove access for users who should no longer access your company's payroll, employee, accounting, or QuickBooks integration data.
We may suspend or restrict access if we reasonably believe there is unauthorized use, security risk, misuse, breach of these Terms, or legal risk.
If you enable employee portal access, you are responsible for ensuring that employee access is appropriate and that employee information is accurate.
Employees may be able to view information such as payslips, leave, time and attendance records, or related payroll information, depending on enabled features.

By using Lypso, you agree that we may process information as described in the Privacy Policy.
Fees, billing cycles, subscription terms, taxes, and payment terms will be provided in the applicable order form, subscription page, invoice, or written agreement.
Unless otherwise stated, fees are non-refundable. We may suspend or restrict access for non-payment.
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free access. Lypso may be unavailable due to maintenance, updates, outages, security issues, third-party provider failures, or events outside our control.
We may modify, add, or remove features from time to time. Where practical, we will provide notice of material changes.
Lypso may integrate with third-party services, including QuickBooks Online, authentication providers, hosting providers, email providers, analytics providers, and other business tools.
Third-party services are governed by their own terms and privacy policies. Lypso is not responsible for third-party services, outages, data handling, or changes.
Lypso, including its software, design, workflows, branding, documentation, and content, is owned by Lypso or its licensors.
You retain ownership of your company data, employee data, payroll data, and accounting data. You grant Lypso the right to process that data as necessary to provide and improve the service, operate integrations, provide support, maintain security, and comply with legal obligations.
Payroll, employee, accounting, and company information may be confidential. We will use reasonable efforts to protect confidential information and use it only as needed to provide the service, support users, maintain security, comply with law, or as otherwise permitted by these Terms and the Privacy Policy.
You are responsible for ensuring that your users handle confidential information appropriately.
Lypso is provided on an "as is" and "as available" basis to the maximum extent permitted by law.
We do not warrant that Lypso will be uninterrupted, error-free, fully secure, or suitable for every payroll, tax, accounting, or legal situation.
Lypso does not provide legal, tax, accounting, employment, or payroll advisory services.
To the maximum extent permitted by law, Lypso will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of business, loss of goodwill, loss of data, payroll errors caused by customer data or configuration, or third-party service failures.
To the maximum extent permitted by law, Lypso's total liability for claims arising out of or related to the service will not exceed the amount paid by you to Lypso for the service during the three months before the event giving rise to the claim, or USD $100 if no fees were paid.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply.
You agree to defend, indemnify, and hold harmless Lypso from claims, losses, liabilities, damages, costs, and expenses arising from:

We may suspend or terminate access if you breach these Terms, fail to pay fees, create security risk, misuse the service, violate law, or if continued service creates legal, operational, or security risk.
Termination does not remove obligations that should reasonably survive, including payment obligations, confidentiality, disclaimers, limitations of liability, indemnity, and data retention obligations.
These Terms are governed by the laws of Barbados, unless another jurisdiction is specified in a signed agreement with you.
The courts of Barbados will have jurisdiction over disputes, unless another forum is specified in a signed agreement.
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of Lypso after the effective date means you accept the updated Terms.
